We can help you with the start-up of new activities and the incorporation of a new company. But it is not just at the start-up stage that we support you, we also support you during the subsequent development of your company. 

We take care of the entire process: the drafting, negotiation and creation of the standard corporate documents, management agreements, shareholders' agreements and all related aspects, including the drafting of appropriate documentation and related deeds (such as the incorporation of new companies, asset and share deals, joint ventures and other forms of collaboration, etc.). 

Even when things threaten to go wrong, we are there for you. We have extensive experience in disputes between shareholders/partners, or involving the company directors and, more generally, procedures relating to partnership law disputes such as, for example, the exclusion or resignation of a shareholder/partner, the nullity or suspension of the decisions of the board of directors or the general meeting, and liability claims against the directors of the company or its bodies.

Mr Tom Vanraes is also regularly appointed as ad hoc mandatary or administrator for these matters, by the Dutch-speaking Commercial Court in Brussels.

If a dispute arises as a result of the non-implementation or defective implementation of contracts, we defend your interests proactively and efficiently.

We represent you before the courts, but also in the context of alternative methods of conflict resolution, such as mediation or arbitration.

CORPORATE AND COMMERCIAL LITIGATION

We handle commercial and corporate disputes for you. This applies to all possible types of proceedings, including proceedings on the merits of a case, applications for the adoption of interim measures, injunction proceedings, experts' reports, seizure procedures, etc.

We have comprehensive expertise in company law procedures, including shareholder disputes, the resignation and exclusion of shareholders, and directors' liability.

We can also assist you in alternative dispute resolution, such as arbitration and mediation. 

We go further for you. Not only do we assist you in the proceedings themselves, but also in all the options for avoiding such proceedings. If we judge that an amicable settlement is preferable, we will assist you in negotiating and drafting any settlement.

COMPANIES IN DIFFICULTY

We assist companies in difficulty with the initiation and implementation of a judicial reorganisation (WCO). 

Mr Tom Vanraes is regularly appointed as a judicial mandatary in these matters by the Dutch-speaking Commercial Court in Brussels, where he is tasked with carrying out the transfer of a company in difficulty.

TRADE AGREEMENTS, DISTRIBUTION LAW, MARKET PRACTICES AND COMPETITION

We assist you in the field of concession contracts, commercial agency, franchising, distribution, etc. Our office has built up unique expertise in the area of international distribution agreements. We help in selecting the right option, drafting or reviewing contracts, and other (pre)contractual documents.
